Notice to Members: CFLA-FCAB Annual General Meeting

CFLA-FCAB Governance
CFLA-FCAB governance is subject to the Canada Not-for-profit Corporations Act, S.C. 2009, c.C-32 (the “Act”) and CFLA-FCAB Bylaw Number One. Our Bylaws require a General Meeting (AGM) of Members to be convened on an annual basis.
The purpose of the AGM is to:
- report on the activities of the Federation;
- ask for ratification of resolutions requiring membership support;
- elect directors for open positions on the CFLA-FCAB Board of Directors;
- present to the Members an Audit Review of the Federation for the previous fiscal year;
- allow Members to ratify the selection of a public accountant who will review CFLA-FCAB’s 2018 financial statements
- vote acceptance of the Standing Rules of Order; and
- vote acceptance of changes to Bylaw No. 1
The Act requires that the AGM be held within six months of the end of the previous fiscal year. CFLA-FCAB’s last fiscal year ended August 31, 2018.
Attendance at the CFLA-FCAB AGM
Any interested member of the library community is welcome to attend the CFLA-FCAB AGM; however, only official representatives of member associations are eligible to vote. Members of the Federation include:

Associations that join the Federation by January 30 will be eligible to cast one or more votes in accordance with the terms set out in the Bylaws.
Voting Process
CFLA-FCAB members have three options to cast their ballots:
- Vote in person at the Annual General Meeting.
- Vote by poll/chat if joining online.
- Assign a proxy vote to an individual who can attend the meeting.
Please send the name of the person who is authorized to vote on behalf of the association/organization to Katherine McColgan (kmccolgan@cfla-fcab.ca) no later than January 23, 2019 using the designate form. For associations that are eligible to cast more than one vote, additional votes may be cast by the same person or by different people.
A vote by proxy may be assigned to any individual present at the meeting. If necessary, proxy rights may be assigned to Katherine McColgan. If you choose to do so, please provide instructions regarding your desired vote. In the absence of such instructions, the vote will be recorded in favour of all resolutions referred to the membership.
Matters to be Referred to the Membership at the 2019 AGM
The following matters require a membership vote at the Annual General Meeting:
Selection of Public Accountant
Under the Act, CFLA-FCAB must provide its members with a Review Engagement Report for the fiscal year ending August 31, 2018.
For the 2019 Fiscal Year, the Board requests that the Members ratify the selection of Ousley Hanvey Clipsham Deep, as public accountants for CFLA-FCAB.
Approval to Conduct a Review Engagement
Under the Act, CFLA-FCAB must obtain member approval to conduct a Review Engagement rather than a full Audit.
For the 2019 fiscal year, the Board requests that the Members approve a Review Engagement to be conducted by the public accountant.
Election of Members of the Board of Directors
As per Bylaw No. 1, Section 32. Board Composition, at each Annual Meeting of Members where the election of Directors is required, the Members shall elect Directors to fill vacancies.
The Board presents the following candidates to be elected to the Board at the January 30, 2019 AGM in Toronto to serve on the Board of Directors for a 2-year term commencing January 30, 2019:

Proposals
Members may put forward proposals to be considered at the Annual General Meeting. Any member organization wishing to do so must notify Katherine McColgan (kmccolgan@cfla-fcab.ca) no later than Monday January 21, 2019 adhering to the stipulations outlined in Bylaw No. 1:
“18. Proposals at Annual Members’ Meetings. Subject to the Regulations under the Act, any Proposal may be brought forward, including Proposals for nominations for the election of Directors, if the Proposal is signed by not less than 5% of Members entitled to vote at the meeting at which the Proposal is to be presented.
- Cost of Publishing Proposals for Annual Members’ Meetings.The Member who submitted the Proposal shall pay the cost of including the Proposal and any statement in the notice of meeting at which the Proposal is to be presented unless otherwise provided by Ordinary Resolution of the Members present at the meeting.”
Bylaw Changes
The changes being proposed to Bylaw No. 1 are part of the meeting package.
Standing Rules of Order
CFLA-FCAB wishes to adopt Standing Rules of Order to govern the proceedings of our annual meeting of members. The proposed Standing Rules of Order are part of the meeting package.

Gouvernance de la FCAB-CFLA
La gouvernance de la FCAB-CFLA est assujettie à la Loi canadienne sur les organisations à but non lucratif, L.C. 2009, c. C-32 (la « Loi ») et au Règlement administratif nº 1 de la FCAB-CFLA. En vertu de nos règlements administratifs, une assemblée générale (AGA) des membres doit être convoquée chaque année.
L’AGA a pour but :
- de rendre compte des activités de la Fédération;
- de demander la ratification de résolutions exigeant l’appui des membres;
- d’élire des administrateurs aux postes à pourvoir au Conseil d’administration de la FCAB-CFLA;
- de présenter aux membres la mission d’examen de la Fédération pour l’exercice précédent;
- de permettre aux membres de ratifier la sélection d’un expert-comptable qui examinera les états financiers de 2018 de la FCAB-CFLA
- de voter sur l’acceptation des Règles de procédure permanentes; et
- de voter sur l’acceptation des modifications au Règlement administratif nº 1.
La Loi exige que l’AGA ait lieu dans les six mois qui suivent la fin de l’exercice précédent. Le dernier exercice de la FCAB-CFLA s’est terminé le 31 août 2018.
Participation à l’AGA de la FCAB-CFLA
Les membres de la communauté des bibliothèques qui souhaitent assister à l’AGA de la FCAB-CFLA sont les bienvenus, mais seuls les représentants officiels des associations membres peuvent voter. Les membres de la Fédération englobent :

Processus de vote
Les membres de la FCAB-CFLA ont trois options pour exercer leur droit de vote :
- Voter en personne à l’assemblée générale annuelle.
- Voter par sondage/clavardage s’ils assistent à l’AGA par voie électronique.
- Voter par procuration par l’entremise d’une personne qui peut assister à l’assemblée.
Veuillez faire parvenir le nom de la personne autorisée à voter au nom de l’association ou de l’organisation à Katherine McColgan (kmccolgan@cfla-fcab.ca) au plus tard le 23 janvier 2019, en utilisant le Forumulaire représentant(e). Les associations qui disposent de plusieurs voix peuvent faire exprimer leurs votes supplémentaires par la même personne ou par différentes personnes.
Un vote par procuration peut être confié à quiconque est présent à la réunion. Au besoin, il est possible d’investir Katherine McColgan des droits de procuration. Si vous décidez de le faire, veuillez fournir des directives concernant le vote que souhaitez exprimer. En l’absence de telles directives, le vote sera inscrit en faveur de toutes les résolutions soumises aux membres.
Questions à soumettre aux membres lors de l’AGA de 2019
Les questions suivantes nécessitent un vote des membres à l’assemblée générale annuelle :
La désignation d’un expert-comptable
En vertu de la Loi, la FCAB-CFLA doit fournir à ses membres un rapport de la mission d’examen pour l’exercice se terminant le 31 août 2018.
Pour l’exercice 2019, le Conseil demande que les membres ratifient le choix d’Ousley Hanvey Clipsham Deep comme expert-comptable de la FCAB-CFLA.
L’approbation de mener une mission d’examen
En vertu de la Loi, la FCAB-CFLA doit obtenir l’approbation des membres pour mener une mission d’examen plutôt qu’une vérification complète.
Pour l’exercice 2019, le Conseil demande que les membres approuvent une mission d’examen qui sera effectué par l’expert-comptable.
L’élection de membres du Conseil d’administration
Conformément à l’article 32 du Règlement nº 1 sur la composition du Conseil d’administration, à chaque assemblée annuelle des membres où il faut élire des administrateurs, les membres doivent élire des administrateurs afin de pouvoir les postes vacants.

LES PROPOSITIONS
Les membres peuvent soumettre des propositions pour être examinées lors de l’assemblée générale annuelle. Toute organisation membre souhaitant le faire doit communiquer avec Katherine McColgan (kmccolgan@cfla-fcab.ca) (le document fait partie de l’ensemble de documents disponible en ligne) au plus tard le lundi 21 janvier 2019 en respectant les stipulations du Règlement nº 1 [TRADUCTION] :
« 18. Propositions aux réunions annuelles des membres. Sous réserve des Règlements relatifs à la Loi, toute proposition peut être présentée, y compris les propositions de mise en candidature pour l’élection des administrateurs, si la proposition est signée par au moins 5% des membres ayant le droit de voter à la réunion où la proposition sera présentée.
- Coût d’édition pour les propositions aux réunions annuelles des membres.Le membre qui a soumis la proposition paiera le coût de l’inclusion de la proposition et de toute déclaration dans l’avis de réunion au cours de laquelle la proposition doit être présentée, sauf disposition contraire par résolution ordinaire des membres présents à la réunion. »
